These are the Terms and Conditions of Sale of all goods, merchandise and services (the “Product” or “Products”) supplied by House of Le Lapin (ABN 93 486 525 387) and its associated and subsidiary companies (the “Company”) to any person, firm or company placing an order with or doing business with the Company for the wholesale purchase of any Product (the “Stockist” or “Stockists”). These terms and conditions shall apply unless the Company agrees, in writing, to vary these terms and conditions.
Please take a few minutes to read the below information about the terms and conditions that apply to you as a Stockist. If you don’t agree to these terms and conditions, please contact us before placing an order. These terms and conditions, which may be modified from time to time, apply to all Stockists.
Acceptance
By completing our Wholesale Application on the House of Le Lapin website (www.lelapin.com.au), you the retailer are deemed to have read and agreed to these terms and conditions. These terms and conditions apply to transactions and interactions made via methods including, but not limited to, phone, email, our website, or via an employee or contracted salesperson (“Authorised Agent”) of the Company.
Placing an order with House of Le Lapin confirms your acceptance of these terms and conditions and your agreement to be bound by them. If you do not accept these terms and conditions, please cancel your order immediately.
Failing to comply with these terms and conditions may lead to account closure. In the event of a violation of these terms and conditions, House of Le Lapin reserves the right to seek all remedies available by law and in equity.
We may at any time and from time to time revise these Terms and Conditions by updating this posting. If the terms are amended they will be effective immediately.
Approved Retailers
A retailer wishing to become an approved House of Le Lapin retailer should apply by completing a Wholesale Application which is available via our website.
All information requested on the Wholesale Application form must be provided.
House of Le Lapin may require further information after receiving the completed form. House of Le Lapin will decide, in its own absolute discretion, whether to approve an applicant. We may decide to grant an approval subject to conditions in which case the approval will only become effective if the applicant accepts the conditions in writing.
Pricing
Prices shown on wholesale order forms are exclusive of GST. All prices are in Australian Dollars (AUD).
We reserve the right to alter our pricing at any time, unless already invoiced.
The RRP for each Product is listed on our website (www.lelapin.com.au) and on our price lists.
Ordering
Orders can be placed via our website or by phoning.
We encourage you to stock our full range, but we are aware of the difficulties posed by COVID-19 and have no minimum order during this time.
Payment Terms
Payments can be made either via credit card or EFT payment.
Please use your invoice number as the payment reference when paying via EFT.
All invoices must be paid in full prior to your order being despatched unless otherwise arranged.
All goods supplied remain the property of House of Le Lapin until payment is made in full.
Shipping
Prices do not include Shipping and Handling, which is calculated based on the tiered rates set out on our price list and will be automatically applied in the checkout of our online store.
Orders over $300 ex. GST will ship freight free.
In stock items usually ship within 1-2 business days.
If you place an order that contains both backorder and in stock items, the order will be automatically split to ship in stock items immediately. Products not available immediately will be placed on backorder and despatched once back in stock.
Estimated delivery dates are approximate and for guidance only. We do our best to get orders despatched as soon as possible, but we are sometimes affected by delays outside of our control.
Returns and Cancellations
All orders are final and cannot be cancelled once the order has been confirmed by us.
To report a faulty item, please report the details of the damage to us within five days of receipt and quote your invoice number. Non-delivery must be reported immediately.
Replacements due to incorrect Products ordered will incur to the Stockist actual postage costs, plus return postage and a re-stocking fee of 10% for the returned Products, at our discretion.
Orders returned to us due to no collection or incorrect addresses attract a return fee and actual postage costs.
Accounts
Stockists may request to be on a 30 day account. This agreement is to be confirmed prior to your order being despatched.
If payment isn’t received in full within the 30 day period the account will revert back to prepaid basis.
Copyright and Intellectual Material
Approved Stockists will be provided images via our image library and are welcome to use any of the images on the House of Le Lapin website for the purpose of promoting our Products.
High res images are available for download through the website once logged in to your wholesale or trade account.
Please contact us if you are unsure of image usage and we can direct you to our brand guidelines.
Terms of Sale
House of Le Lapin sells only to approved Stockists for resale through approved retail outlets.
Stockists are only authorised to sell through the outlet or outlets listed on initial application to House of Le Lapin at the address given. If a Stockist wishes to resell House of Le Lapin products through any different or additional outlet, including an online store, beyond the approved outlet or outlets, then the Stockist must receive prior approval, as individual approvals are required for each individual outlet.
Channel Disclosure
Disclose all channels, forums and platforms used to promote or sell any Product distributed by House of Le Lapin. You agree to disclose these to House of Le Lapin in writing when applying for wholesale services. If your channels to market change at any time after making this disclosure you agree to advise House of Le Lapin in writing within seven days of making the change.
Exclusivity
We do not offer exclusivity on our Products. We are open to discuss any exclusivity requests.
Disclaimer
This Website and all Content of the Website (the “Website”) are provided to our Stockists and prospective Stockists “as is” and “as available” and without warranties of any kind, whether express or implied, including but not limited to, those of merchantability, fitness for a particular purpose, title or non-infringement. You acknowledge, by your use of the Website, that your use is at your sole risk. Some jurisdictions do not allow the disclaimer of implied warranties. In such jurisdictions, the foregoing disclaimer may not apply to you.
Limitation of Liability
In no event will House of Le Lapin be liable to any party for any direct, indirect, incidental, special, consequential or punitive damages for the supply or delivery or non-delivery of products, including, without limitation, lost profits or revenues, costs of replacement, business interruptions, loss of data or damages resulting from use of or reliance on the information present, even if House of Le Lapin is expressly advised about the possibility of such damages. In some jurisdictions, limitations of liability are not permitted. In such jurisdictions, the foregoing limitations on liability may not apply to you.
Governing law
No implication is made that the materials published on this Website are appropriate for use outside of Australia. The laws of the State of Queensland, Australia govern these Terms and Conditions.
Comments, feedback and other
House of Le Lapin allows you to make feedback, suggestions, and comments or requests (“comments”).
If you do make comments, you acknowledge that they will not be considered confidential or proprietary, and House of Le Lapin is under no obligation to keep such information confidential.
House of Le Lapin will have an unrestricted, irrevocable, world-wide, royalty free right to use, communicate, reproduce, publish, display, distribute and exploit such comments in any manner it chooses.
